APPOINTED AFFILIATE PROGRAM Enrolling: To apply for participation in the Affiliate Program, You must properly complete an Affiliate Program application and submit the Application to Us via our web site. We will review the Application and will notify you of our decision whether to accept the Application or reject it. We reserve the right to accept or reject the Application at our sole discretion. Purpose. The purpose of this AFFILIATE Agreement (the "Agreement") is to promote the sale of SFARZO PRODUCTS in the United States through the cooperation and for the benefit of both www.123string.com and Affiliate. Accordingly, www.123string.com and AFFILIATE agree that the following terms. Status as AFFILIATE www.123string.com appoints AFFILIATE as non-exclusive only within the United States, and AFFILIATE accepts www.123string.com appointment as AFFILIATE and agrees to fulfill its obligation's as outlined in this Agreement. AFFILIATE Obligations. You will use the Special Links and the Licensed Materials only in the exact form, style and type approved by us, and you will include with the Special Links and the Licensed Materials such copyright, trademark or other notices as may be required by law or requested by us. We will have the right to alter, modify or discontinue the use of any of the Special Links or the Licensed Materials or the form, style or type thereof at any time in our sole discretion. In addition to the foregoing control measures, we may implement additional control measures to protect our intellectual property rights in the Links and the Licensed Materials, and you agree to cooperate with us in our efforts to protect such intellectual property rights. You further agree to maintain a level of quality in connection with your use of the Links and the Licensed Materials that is consistent with general industry standards, and you acknowledge that we will periodically monitor your use of the Special Links and the Licensed Materials to confirm your maintenance of such quality levels. AFFILIATE as Independent Contractor. The parties agree that AFFILIATE is an independent contractor and that AFFILIATE is not a www.123string.com agent, partner, franchise, joint venture, or employee. Prices and Price protection. AFFILIATE acknowledges and agrees that www.123string.com may change its pricing at any time, upon 5 days notice to AFFILIATE will honor AFFILIATE 's orders, which it has received and accepted prior to the effective date of price changes. Search Engine Placement. www.123string.com recognizes the need for Affiliate to promote the Program through search engine placement. However, www.123string.com reserves exclusive rights as to the advertising of our trademarked company name within all pay-for-placement and all other search engines. These names include: www.123string.com, SFARZO.US, etc. and any variation of our trademarked name. Additionally, you may not claim to be The www.123string.com in any pay-for-placement or other search engines. Violations will be cause for Affiliate 's immediate termination and any unpaid commissions will be unearned, disallowed and/or charged back. Trademark Use During Agreement. During the term of this Agreement, AFFILIATE is authorized by www.123string.com to use www.123string.com trademarks and logos in connection with advertisements, promotion, and distribution of SFARZO PRODUCTS, in accordance with www.123string.com policies in effect at that time. Copyright and Trademark Notices. AFFILIATE will include links containing SFARZO PRODUCTS on Affiliate 's Internet site and may in each printed advertisement AFFILIATE sponsors, all trademarks, copyright, and other notices of proprietary rights included by www.123string.com on such products. AFFILIATE will not alter, erase, deface, or overprint any such notice on anything provided by www.123string.com. No AFFILIATE Rights In Trademarks or Copyrights. Nothing containing in this Agreement shall give AFFILIATE any rights to www.123string.com trademark, trade name, copyright, patent, logo, or designation. AFFILIATE will not, at any time during or after this Agreement, do anything that may adversely affect the validity or enforceability of, or infringe or contribute to the infringement of, such trademarks, copyrights, patents, logos, or designations to any of SFARZO PRODUCTS. The product also contains trade secrets in its human perceivable form and, to protect them, AFFILIATE also agrees not to reverse engineer, de-compile, disassemble, or otherwise reproduce the product to any human perceivable form. AFFILIATE may not modify, adapt, translate, rent, lease, loan, or create derivative works based upon the product or any component thereof. Termination. This Agreement becomes effective after both execution by AFFILIATE and acceptance of www.123string.com at is location of Santa Rosa CA. Either party may terminate this Agreement at will, at any time, with or without cause, on thirty (30) days written notice by registered mail to the other company at the address identified below or to such address as modified by written notification to the other party. www.123string.com may terminate this Agreement upon notice in the event AFFILIATE breaches this agreement. An application will be automatically rejected if it is submitted from an entity that has a web site any of the following: Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age. Promotes sexually explicit materials. Promotes violence. Promotes unlawful activities. Violates intellectual property rights If, at a later time after the Application is accepted, your web site is found to contain any of the above, we reserve the right, at our sole discretion, to terminate the Agreement. Copyright Protection. AFFILIATE acknowledges that the products, and related documentation sold by www.123string.com hereunder, are protected by copyright. Unless otherwise agreed, all copies of the products and documentation delivered by www.123string.com heretofore, and all copies resold by AFFILIATE, will bear a copyright notice in a form prescribed by www.123string.com. AFFILIATE agrees that its obligation to include such notices shall be both a covenant hereof and a condition hereof www.123string.com authorization of AFFILIATE S public distribution of copies of the products. AFFILIATE will use its best efforts to preserve the copyrights in the Products and related documentation and will promptly report to www.123string.com any apparent infringement of such copyrights. AFFILIATE will have no right to reproduce, modify, or translate any of the Products or any of the related documentation without www.123string.com prior written consent. General. This Agreement may only be supplemented, modified, or waived by a written amendment signed in advance by both parties; no additional or conflicting term in a "purchase orders" or other document AFFILIATE may use, will have any effect. www.123string.com may modify the AFFILIATE program from time to time with thirty days prior notice. www.123string.com reserved the right to market its product to or through any other entity at its sole discretion. AFFILIATE understands that hold no exclusive rights to any geographical area, customer group or product. This Agreement is governed by the laws of the State of California. AFFILIATE acknowledges having read, understood, and received a copy of this Agreement, and agrees to be bound by its terms. Links to Our Web Site(s). After we have notified you of acceptance of the Application, You will provide one or more links from your site to our site(s). We will provide You with instructions and special link formats "Link Formats") designed for accurate tracking and reporting for all links between your site and our site(s) and You will be solely responsible for properly utilizing the Link Formats. Once established, the links utilizing the Link Formats ("Special Links") will be used to determine any fees that may be paid. Failure by You to maintain the links or use the Link Formats as instructed may result in a loss to you of fees. 5. Affiliate Referral Fee Schedule. You will earn an Affiliate Referral Fee based on net sales revenue of "Shipped" Referral Orders less shipping and handling charges, taxes collected, service contract revenue, and any other non-product charges on that order (the "Referral Order Revenue") as follows: Referral fees shall be ten percent (10%) of "Shipped" Order Revenue. 6. Affiliate Referral Fee Payment. Within approximately 30 days following the end of each calendar month, we will send you a check for the Affiliate Referral Fee earned on the Referral "Shipped" Order Revenue for products that were shipped during that calendar month. If the fees payable to you for any month are less than $20.00, we will hold payment until the next month in which the accumulated $20.00 minimum is met. If a Qualified Referral Order is returned by a customer, the associated Affiliate Referral Fee will be deducted from the fees to be paid to you. In the case that the fees for returned products exceed the balance of fees to be paid to you, you may be billed for that excess. Affiliate Referral Fees. On a MONTHLY basis, we will pay a fee to you, in accordance with the Affiliate Referral Fee Schedule below (the "Affiliate Referral Fee"), based on the "Shipped" Referred Orders that have been recorded. For a Referred Order to generate a fee, the order must meet the following conditions (the "Qualified Referral Order"): * A customer must have followed the Special Links from your site to our Site(s) * A a customer must have chosen one or more products * A customer must have ordered the products through our automated ordering system ("Shopping Cart") during that same session * That customer must have accepted delivery of and paid us in full for that order Orders that are placed after a customer enters our site through a link other than the Special Links or by a means not through a link are not eligible for the Affiliate Referral Fee. Orders placed subsequent to the Referred Order other than through a Special Link as a Referred Order are not eligible for the Affiliate Referral Fee. All customers who purchase product from us under the Affiliate Program shall be deemed customers of www.123string.com, Inc. Accordingly, those customers and their transactions with us shall be governed by all the policies, terms and conditions that customers of www.123string.com, Inc. are subject to. www.123string.com does not ship international orders. Orders placed by you or your representatives shall not be eligible for an Affiliate Referral Fee. Application by you for such fees may result in termination of your participation in the Affiliate Referral Program, at our sole discretion. THIS IS A LEGAL AGREEMENT BETWEEN YOU AND www.123string.com, INC. BY CLICKING ON THE "APPLY" BUTTON AT THE END OF THE AFFILIATE ONLINE APPLICATION; YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.
